His practice is informed by his legal and business training, his clerkship for Chancellor Andre G. Bouchard of the Delaware Court of Chancery, and significant experience at well-known plaintiff and defense firms.

In re Warner Bros. Discovery Inc. Stockholders Litigation, C.A. No.2022-1114-JTL (Del. Ch.): $125 million settlement in an action challenging a side deal that was entered into in connection with the merger of Warner Brothers and Discovery, Inc.
In re Viacom Inc. Stockholders Litigation: $122.5 million settlement on behalf of former Viacom, Inc. stockholders in an action challenging the merger of CBS, Inc. and Viacom, Inc.
Hollywood Firefighters’ Pension Fund v. GCI Liberty, Inc., C.A. No.C.A. No. 2020-0880-SG (Del. Ch.): $110 million settlement and substantial governance enhancements in an action challenging the acquisition of GCI LibertyInc. by its controlling stockholder, Liberty Broadband Corp.
A frequent author on a wide range of corporate governance issues, Andrew earned a Burton Award for his article “Fiduciary Duties of Corporate Directors in Uncertain Times". Andrew also co-authored, among other articles, “A Critical Analysis of ‘Fair Price’ In Entire Fairness Law in Delaware,” published by the Delaware Journal of Corporate Law in Spring 2025, and “Optimizing Delaware’s Corporate Law Amendment Process: Ideas for the Next 20 Years,” forthcoming in the Delaware Journal of Corporate Law.
He is regularly invited to speak at premier institutions—including Harvard Law School, University of Pennsylvania Carey Law School, the University of Virginia School of Law, and the New York City Bar’s Securities Litigation & Enforcement Institute—where he provides guidance on developments in Delaware fiduciary law and investor litigation strategy. Prior to joining the firm, Andrew was a Partner at Bernstein Litowitz Berger & Grossmann LLP and, before that, a securities litigation associate at Weil, Gotshal & Manges LLP and a law clerk for Chancellor Andre G. Bouchard. He received an economics degree from Johns Hopkins University and a JD/MBA from Washington University in St. Louis.
