Benjamin Potts

Ben Potts represents investors in corporate governance and stockholder rightslitigation, drawing on deep experience in the Delaware courts.  His work reflects a blend of legal expertiseand business know-how, informed by more than a decade of experience representing companies, their directors and officers, and their stockholders.

Ben focuses his practice on prosecuting fiduciary duty actions on behalf of institutional investors. His work includes matters involving board misconduct, conflicted transactions and structural governance weaknesses across public companies.

Ben was part of the team that secured a $162.5 million settlement on the eve of trial in In re Santander Consumer USA Holdings Inc. Stockholders' Litigation, Consol., C.A. No. 2022-0689-LWW (Del. Ch.). He is also part of the teams currently challenging multi-billion dollar transactions in In re Endeavor Group Holdings, Inc. Stockholder Litigation, Consol. C.A. No. 2025-0663-LWW (Del. Ch.) and In re Vladimir Fishel, et al. v. Liberty Media Corporation, et al., 2024-1057-KSJM (Del. Ch.), among other cases.

Ben spent almost a decade of his career primarily defending companies and their boards. He brings a thorough understanding of the defense-side perspective to every case he litigates on behalf of stockholders. After graduating from the University of Pennsylvania Carey Law School, Ben clerked for former Delaware Supreme Court Justice Carolyn Berger. He formerly worked at the law firms of Young Conaway Stargatt & Taylor and Wilson Sonsini Goodrich & Rosati where Ben focused on representing officers and directors, and at Bernstein Litowitz Berger & Grossmann where Ben represented investors. Ben is admitted to practice in Delaware and the U.S. District Court for the District of Delaware.
