James Janison

James Janison is an associate practicing out of the firm’s New York office, where he prosecutes corporate governance and fiduciary duty litigation on behalf of the firm's institutional investor clients. James has written or co-authored several articles about Delaware corporate law, including “Is There Always Money In The Banana Stand? The Importance Of Fee Awards To Vindicating Shareholder Voting Rights” and “A Critical Analysis Of ‘Fair Price’ In Entire Fairness Law In Delaware: From Theory To Praxis” (co-authors: Jeroen Van Kwawegen, Andrew Blumberg, & Gregory V. Varallo).

Before joining JVK Law, James was an associate at another law firm at which he practiced corporate governance and fiduciary duty law on behalf of public stockholders. James's past and current cases include:

Wilhoite, et al. v. Hou, et al.,23-cv-2333 RTB MSB (S.D. Cal.): secured a $42.5 million settlement, along with certain corporate governance reforms, in a derivative trade secret misappropriation action against corporate insiders of TuSimple Holdings, Inc. (on appeal).

Glazer Enhanced Fund LP, et al. v. Squarespace, Inc., C.A. No. 2024-1137-PAF (Del. Ch.): ongoing appraisal action on behalf of funds affiliated with Glazer Capital LLC in connection with a $7.2 billion take-private of Squarespace, Inc. orchestrated by a consortium led by Permira and Squarespace's former controlling shareholder, Anthony Casalena. 

SEIU Benefit Funds v. Bain Capital Investors, LLC et al., C.A. No. 2024-0718-JTL (Del. Ch.): breach of fiduciary duty action against controller and certain insiders of Cerevel in connection with alleged insider trading that generated approximately $141 million in ill-gotten benefits by the defendants. 

Before practicing law, James clerked for Chancellor Kathaleen St. Jude McCormick of the Delaware Court of Chancery. James received his J.D. from NYU School of Law, where he was Senior Notes Editor for the NYU Journal of International Law and Politics and authored the article “Justifying the Presumption Against Extraterritoriality: Congress as a Foreign Affairs Actor.” He graduated Phi Beta Kappa from Brown University with a B.A. in International Relations, where he studied political economy issues in post-Soviet space.
